Russian Federation Council has approved a bill abolishing the compulsory re-registration of statutory documents of a limited liability company (LLC) in the period prior to January 1, 2010. Amendments to the fifth article of the Federal Law "On Amendments in the first part of the Civil Code and certain legislative acts of the Russian Federation" introduced earlier revise the requirement for the maximum permissible period allowed for renewal of the charter documents LTD. Recall that the Federal Law № 312 of 30.12.2008, entered into force this year, excluded the agreement from the founding documents and provided the deadline for re-registration of statutory documents - January 1, 2010. As noted at the meeting of the Federation Council, by the end of October 2009, its statutory documents reissued at least 10% of limited liability companies. Most companies (as a rule, representatives of SMEs) had not had time to bring documents into compliance with the law "for objective reasons." As the press service of the Federation Council, the new bill provides for the re-registration statutes LLC upon making the first changes to the documents of such companies. The bill, which provides "relief" Ltd., passed its first reading in the Duma on Dec. 4, 2009. Probably, the Federal Law "On Amendments to Article 5 of the Federal Law" On Amendments in the first part of the Civil Code and some legislative acts of the Russian Federation will soon be signed by the President of the Russian Federation.
